Operator: Shot Call'a Games, LLC d/b/a ImproveStu (“FARU,” “we,” “us”)
FARU is a structured digital message board for students. We host listings and messages; we do not provide transportation.

1. Acceptance of these Terms

By creating an account, tapping Continue / Finish, posting or requesting a ride, using Designated Drivers, messaging other users, or otherwise accessing FARU, you agree to this End User License Agreement and Terms of Use (the “Terms”). If you do not agree, do not use the app.

These Terms form a binding agreement between you and Shot Call'a Games, LLC d/b/a ImproveStu (the “Company,” “we,” “us”), which owns and operates the FARU application and related services. “FARU” refers to the product and brand operated by the Company. Continued use after we post an updated version (see version date in-app) constitutes acceptance of the revised Terms, to the maximum extent permitted by law.

2. What FARU is — and is not

FARU is a structured message-board platform and software application for students and (where offered) emergency contacts. Think of it as the digital successor to the cork pin-board in a campus student center or dorm lobby: users may post trip listings, seat requests, Designated Driver asks, club notices, and related messages so other users can discover and contact them.

FARU is NOT:

• a transportation company, common carrier, taxi, TNC, courier, or logistics provider;
• a party to any ride, payment, tip, or meetup;
• an employer, joint employer, principal, agent, partner, joint venture, or franchise of any driver, rider, Designated Driver, or other user;
• a broker that arranges or dispatches trips as a regulated service;
• an insurer, guarantor, or emergency-response provider.

Any travel, vehicle use, payment, tip, conversation, or in-person meeting occurs solely between independent users at their own risk and discretion.

3. License to use the app

Subject to these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the FARU mobile application for personal, lawful, campus-community purposes. The Company retains all right, title, and interest in the software, branding, trademarks, and platform. Ride discovery, corridor-matching, event ranking, After Class matching, Class Rides matching (including building-proximity and pickup-alert logic), recommendation logic, model coefficients, and de-identified campus/corridor ranking priors are proprietary trade secrets and data of Shot Call'a Games, LLC and are not licensed to you. Those de-identified priors (counts with no user identifier) remain Company property after you delete your account. You may not reverse engineer, decompile, attempt to derive that logic, scrape abusively, interfere with security, or misuse the service except as allowed by mandatory law.

4. Independent users; no employment or agency

Drivers, riders, Designated Drivers, club hosts, and other users act solely as independent individuals (or, if applicable, independent contractors solely as between themselves — never as our contractors). Nothing in these Terms or the app creates an employment, contractor, agency, fiduciary, partnership, or joint-venture relationship between the Company (or FARU) and any user.

Users control whether to post, accept, decline, cancel, price, tip, drive, ride, or meet. FARU does not set driver schedules, routes as a carrier, or compensation structures beyond optional user-entered amounts displayed on listings.

5. Assumption of risk

YOU UNDERSTAND AND VOLUNTARILY ASSUME ALL RISKS associated with using a peer message board to find or offer rides and related campus help, including without limitation risks of:

• motor vehicle accidents, injury, disability, or death;
• criminal acts, assault, theft, fraud, harassment, or misconduct by other users or third parties;
• intoxicated or impaired driving (by anyone), unsafe vehicles, or negligent operation;
• lost, stolen, or damaged personal property (phones, bags, keys, etc.);
• no-shows, cancellations, miscommunications, wrong pickup points, or missed connections;
• payment or tip disputes, chargebacks, or failure to split costs;
• weather, traffic, mechanical failure, or force majeure;
• reliance on user-provided profiles, ratings, ID badges, or messages.

You are solely responsible for verifying the identity, sobriety, insurance, licensing, and suitability of anyone you choose to meet or ride with, and for complying with all traffic, alcohol, and campus rules. Section 6 states this duty, the absence of background checks, and where accident insurance liability sits.

6. No background checks; user verification; insurance

No Background Checks. The platform explicitly states that it cannot and does not ensure the lawful behavior of its users. FARU does not conduct criminal background checks, driving-record checks, or continuous monitoring of users, and it does not warrant that any user is licensed, insured, sober, or law-abiding.

User Responsibility. Users take full personal responsibility for verifying the safety, valid driver’s licenses, and auto insurance coverage of anyone they match with on the app (and anyone they meet, ride with, or drive). Campus email, ID badges, ratings, and optional safety tools are conveniences only — they are not a substitute for that verification and do not make FARU a guarantor of any user.

Liability Shifts to Drivers. In the event of a carpooling traffic accident, the legal liability lies entirely with the at-fault driver’s personal auto insurance policy, rather than the matching platform. The same is true of other motor-vehicle accidents in connection with a trip arranged using FARU: liability sits with the at-fault driver’s personal auto policy and the responsible individuals — not with FARU, the Company, or the matching platform. FARU is not an insurer and does not provide, arrange, or guarantee automobile insurance.

Assisted Insurance Verification (Optional / Campus). Some campuses may invite drivers to upload an auto insurance card or declarations page. FARU may use automated tools (such as OCR) and staff review to compare the upload to profile name and vehicle details. An “assisted insurance verified” badge means the document passed those checks — it is not legal advice, not a guarantee of coverage limits or carpool permissibility, and not a substitute for a rider verifying insurance with the driver before entering a vehicle. FARU retains digital copies of uploads for audit and safety review. Peer-to-peer liability is unchanged: the at-fault driver’s personal auto policy applies, not FARU.

7. Disclaimers of warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY, FARU, AND THE APP ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR RELIABILITY.

We do not warrant that listings are accurate, that users are who they claim to be, that rides will occur, that Designated Drivers are sober, or that safety features (SOS, live location, check-ins, ratings, ID review) will prevent harm. Safety tools are optional conveniences, not guarantees and not a substitute for 911 or campus police.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY (INCLUDING SHOT CALL'A GAMES, LLC), FARU, OR THEIR OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP, USER CONTENT, OR ANY INTERACTION WITH OTHER USERS — WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, THE COMPANY SHALL HAVE NO LIABILITY FOR ACCIDENTS, INJURIES, DEATH, CRIMES, PROPERTY LOSS OR DAMAGE (INCLUDING LOST ITEMS LEFT IN VEHICLES), PAYMENT DISPUTES, DEFAMATION, OR ANY ACT OR OMISSION OF ANY USER OR THIRD PARTY. IN THE EVENT OF A CARPOOLING TRAFFIC ACCIDENT, LEGAL LIABILITY LIES ENTIRELY WITH THE AT-FAULT DRIVER’S PERSONAL AUTO INSURANCE POLICY, RATHER THAN THE MATCHING PLATFORM, FARU, OR THE COMPANY.

TO THE EXTENT OUR LIABILITY CANNOT BE FULLY EXCLUDED, OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO THE COMPANY (IF ANY) FOR FARU+ OR OTHER PAID FEATURES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded under mandatory consumer or other law.

9. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its owners, officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the app; (b) your listings, messages, or conduct; (c) any ride, meetup, payment, or Designated Driver arrangement you enter; (d) your violation of these Terms or of law; or (e) your infringement of another’s rights.

10. User content & bulletin-board role

You are solely responsible for content you post (rides, requests, DD asks, club posts, chat, photos, payment handles, etc.). You grant the Company a worldwide, non-exclusive, royalty-free license to host, display, and transmit that content as needed to operate the message-board service.

We may remove or restrict content or accounts that violate law, campus policy, or our community standards, but we have no obligation to monitor all posts and do not endorse user content. To the extent a “publisher” or “speaker” theory might otherwise apply, you agree the Company (via FARU) acts as an interactive computer service / platform hosting third-party information, analogous to a physical campus bulletin board.

11. Payments, tips, and lost property

Any price per seat, gas split, tip, Venmo/Cash App/Zelle handle, or other payment is arranged solely between users. The Company does not process ride payments (unless a separate paid product like FARU+ is purchased from us) and is not responsible for unpaid seats, disputed tips, or scams between users.

The Company is not responsible for lost, stolen, or damaged belongings before, during, or after any trip or meetup. Recovering property is solely between the users involved.

12. Safety features; emergencies

Optional tools (emergency contacts, live location during trips, SOS, check-ins, reports, ID verification workflows) are provided for convenience only. They may fail, delay, or be unavailable. In a real emergency, call 911 (or local emergency services) and campus police first. The Company does not dispatch first responders.

13. Eligibility & account

You represent that you have capacity to enter these Terms and will provide accurate information. We may suspend or terminate access for violation of these Terms, abuse, safety risk, or legal requirements, without liability to you beyond what mandatory law requires.

14. Dispute resolution; governing law

Except where prohibited, these Terms are governed by the laws of the jurisdiction in which the Company maintains its principal place of business, without regard to conflict-of-law rules. You agree to attempt good-faith informal resolution by contacting Company support (FARU) before filing a claim. Venue and arbitration/class-action waivers may be specified in a later update; until then, courts of competent jurisdiction apply to the extent permitted by law.

IF YOU ARE A CONSUMER IN A JURISDICTION WITH MANDATORY PROTECTIONS, THOSE PROTECTIONS PREVAIL OVER CONFLICTING TERMS.

15. Severability; entire agreement

If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will continue in full force. These Terms, together with any in-app privacy/data notices and policies we publish, constitute the entire agreement regarding the app and supersede prior understandings on that subject. Failure to enforce a provision is not a waiver. Section headings are for convenience only.

16. Acknowledgment

BY USING FARU YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THAT FARU IS A STUDENT MESSAGE-BOARD PLATFORM OPERATED BY SHOT CALL'A GAMES, LLC AND NOT A TRANSPORTATION PROVIDER; THAT FARU DOES NOT BACKGROUND-CHECK USERS AND CANNOT ENSURE LAWFUL BEHAVIOR; THAT YOU ARE RESPONSIBLE FOR VERIFYING SAFETY, VALID DRIVER’S LICENSES, AND AUTO INSURANCE OF ANYONE YOU MATCH WITH; AND THAT — TO THE FULLEST EXTENT ALLOWED BY LAW — THE COMPANY HAS NO RESPONSIBILITY OR LIABILITY FOR ACCIDENTS, CRIMES, INJURIES, LOST ITEMS, PAYMENTS, OR ANY OTHER OUTCOME ARISING FROM INTERACTIONS BETWEEN USERS. IN A CARPOOLING TRAFFIC ACCIDENT, LEGAL LIABILITY LIES ENTIRELY WITH THE AT-FAULT DRIVER’S PERSONAL AUTO INSURANCE POLICY, NOT THE MATCHING PLATFORM.
